Company Registration in India

Register Your Company — Get a Legal Business Identity

Company registration in India is the process of legally incorporating your business entity under the Companies Act, 2013, administered by the Ministry of Corporate Affairs (MCA). Once registered, your company gets a unique Corporate Identification Number (CIN), a separate legal identity, and the ability to enter contracts, own assets, and operate as an independent legal entity.

Whether you're a solo entrepreneur, co-founders building a startup, or an established business looking to formalize operations — choosing the right company structure is the most important decision you'll make. DigiFiling's expert CA & CS team guides you through the entire process, from choosing the right structure to filing the Certificate of Incorporation on the MCA portal.

All company registrations in India are filed on the MCA21 portal (mca.gov.in). DigiFiling handles all MCA filings on your behalf — DIN application, DSC procurement, name reservation, MOA & AOA drafting, SPICe+ form filing, and PAN/TAN application for the company.

🏛 MCA21 Portal: All company incorporation filings are made on the official MCA21 portal at mca.gov.in. Government fees for incorporation depend on the authorized capital of the company. DigiFiling handles all portal filings and provides a full fee breakup before payment.

Why Incorporate

Key Benefits of Registering a Company in India

Separate Legal Identity

Your company is a legal person — it can own property, enter contracts, sue and be sued in its own name. Your personal assets are protected.

🔒

Limited Liability Protection

Shareholders are liable only up to their shareholding value. Your personal assets (house, savings) cannot be attached for company debts.

💰

Easier Access to Funding

Banks, VCs, angel investors, and government schemes prefer incorporated companies. Raising funds is significantly easier with a Pvt Ltd structure.

🏆

Business Credibility

A "Pvt Ltd" or "LLP" suffix signals professionalism. Large enterprises, MNCs, and government bodies prefer doing business with registered companies.

🔄

Perpetual Succession

A registered company continues to exist regardless of changes in ownership, death of shareholders, or resignation of directors. The business lives on.

📊

Tax Planning Advantages

Companies enjoy certain tax benefits — lower corporate tax rates (22% for domestic companies), ability to carry forward losses, depreciation claims, and more.

🌏

Global Business & Export

Incorporated companies can easily open foreign currency accounts, receive FDI, register in other countries, and list on international marketplaces.

🤝

Employee ESOPs & Hiring

Issue ESOPs (Employee Stock Options) to attract top talent. Registered companies find it much easier to hire senior employees and key management personnel.

How It Works

Step-by-Step Company Registration Process

Here's exactly how DigiFiling registers your company — from document collection to Certificate of Incorporation:

1

Consultation — Choose the Right Structure

Our CA or CS expert calls you, understands your business, number of founders, funding plans, and advises the best structure — Pvt Ltd, LLP, or OPC. We also advise on authorized capital and share structure.

⏱ Free Consultation — Day 1
2

Document Collection & DSC Application

We share a detailed document checklist. You share documents digitally via WhatsApp or email. We apply for Digital Signature Certificates (DSC) for all directors/partners — mandatory for MCA filings.

⏱ Day 1–2
3

Name Reservation (RUN / LLP-RUN)

We check availability of your proposed company name on the MCA database and file the name reservation application (RUN for companies, LLP-RUN for LLPs). Name approval takes 1–3 working days.

⏱ Day 2–4
4

MOA & AOA / LLP Agreement Drafting

Our CS drafts the Memorandum of Association (MOA) and Articles of Association (AOA) for Pvt Ltd/OPC, or the LLP Agreement for LLPs — tailored to your business objects and governance requirements.

⏱ Day 4–6
5

SPICe+ Form Filing on MCA Portal

We file the SPICe+ (Simplified Proforma for Incorporating a Company Electronically) form on the MCA21 portal — covering incorporation, DIN allotment, PAN, TAN, EPFO, ESIC, and GST registration simultaneously.

⏱ Day 6–8
6

ROC Review & Queries

The Registrar of Companies (ROC) reviews the application. If any query is raised, our CS responds on your behalf within the stipulated time. Most straightforward applications are approved without queries.

⏱ Day 8–12
7

Certificate of Incorporation Issued

The ROC issues the Certificate of Incorporation with your company's CIN (Corporate Identification Number). Company PAN and TAN are also allotted simultaneously via SPICe+.

⏱ Day 10–15
8

Post-Incorporation Setup

We help you with: opening the company bank account (with Board Resolution), completing GST registration, registering for MSME/Udyam, and setting up your statutory registers (Share Register, Minutes Book, etc.)

⏱ Week 3 onwards
Ongoing Obligations

FAQ

Frequently Asked Questions — Company Registration

What is the minimum capital required to register a Private Limited Company? +
There is NO minimum capital requirement for a Private Limited Company in India since the Companies Act amendment in 2015. You can incorporate a company with authorized capital of ₹1 (though we recommend at least ₹1 Lakh authorized capital for practical banking purposes). The government fee for incorporation is based on authorized capital — higher authorized capital means slightly higher government fees.
Can I register a company with a home address as the registered office? +
Yes! The registered office of a company can be your home address. You need to provide: recent electricity bill (not older than 2 months) of the premises, and a No Objection Certificate (NOC) from the property owner if you're not the owner. Many startups begin with a home-based registered office and change it as they grow.
What is the difference between DIN and DSC? Why are they needed? +
DIN (Director Identification Number) is a unique 8-digit identification number assigned by MCA to every director of a company. It is allotted as part of the SPICe+ incorporation form. DSC (Digital Signature Certificate) is an electronic signature used to digitally sign MCA forms. DSC is mandatory for all directors/designated partners for filing forms on the MCA portal. DigiFiling arranges both DIN and DSC as part of the incorporation package.
Can a foreign national be a director in an Indian Private Limited Company? +
Yes. Foreign nationals can be directors in Indian companies. However, at least one director must be an Indian resident (a person who has stayed in India for at least 182 days in the previous calendar year). Foreign directors need to get their documents notarized and apostilled from their home country before submission. DigiFiling handles international client incorporations as well.
What happens after the company is incorporated? What do I do next? +
After incorporation, you need to: (1) Open a current bank account in the company's name, (2) Complete GST registration if applicable, (3) Register for MSME/Udyam if eligible, (4) File INC-20A (Declaration of Commencement of Business) within 180 days — mandatory for Pvt Ltd. DigiFiling guides you through all these post-incorporation steps and also offers annual compliance packages to keep your company ROC-compliant.
Can an LLP be converted to a Private Limited Company later? +
Yes. An LLP can be converted to a Private Limited Company under Section 366 of the Companies Act, 2013. Similarly, an OPC can be converted to a Pvt Ltd when the paid-up capital exceeds ₹50 Lakh or turnover exceeds ₹2 Crore. DigiFiling handles conversion of all entity types. Many businesses start as LLP or OPC and convert to Pvt Ltd when seeking investor funding.
