Important: By accessing our website, submitting an enquiry, making a payment, or availing any service from DigiFiling, you unconditionally agree to these Terms & Conditions. If you do not agree, please do not use our services.

These Terms and Conditions ("Terms") govern your access to and use of the website www.digifiling.in and all services provided by DigiFiling India Pvt Ltd ("DigiFiling", "Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 and registered in New Delhi, India. These Terms apply to all visitors, registered users, and clients. By using our services, you represent that you have read, understood, and agree to be bound by these Terms along with our Privacy Policy.

Definitions & Interpretation

In these Terms, the following words shall have the meanings assigned to them below unless the context requires otherwise:

"DigiFiling" / "Company" DigiFiling India Pvt Ltd, its subsidiaries, affiliates, officers, employees, agents, and partners
"Client" / "User" / "You" Any individual, proprietor, partner, director, or authorized representative who accesses our website or avails our services
"Services" All business registration, licensing, compliance, and facilitation services offered by DigiFiling including FSSAI, GST, Trademark, MSME, IEC, Company Incorporation, and related services
"Government Portals" Official portals operated by the Government of India including gst.gov.in, foscos.fssai.gov.in, ipindia.gov.in, mca.gov.in, udyamregistration.gov.in, dgft.gov.in
"Government Fees" Fees payable to the Government of India or State Governments as part of the registration process, charged at actuals
"Professional Fees" DigiFiling's service charges for document preparation, application filing, and expert consultation
"Documents" All identity proofs, business proofs, certificates, and other materials provided by the Client for processing their application
"Website" www.digifiling.in and all associated subdomains, mobile applications, and digital platforms

Words in singular include the plural and vice versa. References to any statute include amendments thereto. Headings are for convenience only and shall not affect interpretation.

About Our Services

DigiFiling is a professional facilitation and consultancy service. We assist businesses and individuals in navigating government registration and compliance processes in India. It is important to understand the nature and scope of our services:

What We Do

Prepare documents, fill application forms, file applications on govt portals, follow up, respond to queries, and deliver certificates.

What We Are Not

We are NOT a government body, department, or authority. We have no control over government decisions, timelines, or policy changes.

Each service engagement is defined by the service selected, documents provided, and fees paid. Additional services require separate agreements.

No Guarantee of Approval

We guarantee quality of our work — not the outcome of government decisions. Approvals depend on government discretion and policy.

Section 03
Eligibility to Use Our Services

To use DigiFiling's services, you must meet all of the following eligibility criteria:

  • You must be at least 18 years of age or a legally constituted entity (company, LLP, firm, trust, society)
  • You must be a citizen of India or a foreign national with a valid legal presence in India (for Indian registrations)
  • You must have the legal authority and authorization to engage DigiFiling on behalf of the business entity (director, partner, proprietor, or authorized signatory)
  • You must be able to provide valid, authentic, and complete documents required for the registration applied for
  • Your intended business must be legal and compliant with all applicable Indian laws — we do not assist businesses engaged in illegal, prohibited, or fraudulent activities
  • You must not be subject to any court order, government directive, or legal restriction that prohibits you from forming or operating a business

DigiFiling reserves the right to refuse service to any person or entity at its sole discretion, including if we have reason to believe the eligibility criteria are not met.

Section 04
Client Obligations & Responsibilities

By engaging DigiFiling, you agree to fulfill the following obligations. Failure to do so may result in delays, rejection of applications, or termination of services without refund:

4.1 Accuracy of Information

  • You shall provide true, accurate, current, and complete information as required for the registration process
  • You shall immediately notify DigiFiling of any changes to the information provided
  • You shall not misrepresent your identity, business nature, turnover, or eligibility for any registration
  • You accept full legal responsibility for the accuracy and authenticity of all documents and information submitted

4.2 Document Submission

  • You shall provide all required documents in the format, quality, and within the timeline specified by our experts
  • Documents must be legible, valid, and not expired
  • Delay in document submission by the client shall not be grounds for a refund and may extend processing timelines
  • Submitting forged, tampered, or fraudulent documents is a criminal offense — DigiFiling will report such instances to appropriate authorities

4.3 Cooperation

  • You shall cooperate with DigiFiling and respond to queries within 48 business hours
  • If a government officer or inspector visit is required (e.g. for FSSAI State/Central license), you must make your premises available
  • For Aadhaar OTP-based authentication (required for GST, etc.), you must complete OTP verification promptly
🚫 Warning: DigiFiling shall not be responsible for rejection, delay, or cancellation of any application arising from inaccurate information, incomplete or fraudulent documents, or non-cooperation by the client. In such cases, government fees paid are non-refundable and professional fees may also be forfeited.

Fees, Payment & Billing

All fees are displayed in Indian Rupees (INR) and are inclusive of applicable GST unless expressly stated otherwise.

Payment Terms

  • Payment must be made before commencement of any service. We do not begin work until full payment (or agreed advance) is received.
  • Accepted payment methods: UPI, Net Banking, Debit/Credit Card, NEFT/RTGS, and other modes offered on our payment gateway.
  • Government fees are collected at actuals — we provide a clear breakup of professional fee and government fee before payment.
  • All payments are processed through PCI-DSS compliant third-party payment gateways. DigiFiling does not store your card details.
  • A GST invoice will be issued for all payments within 24 hours of successful transaction.
  • In case of payment failure, the transaction will be reversed within 5–7 working days by the payment gateway/bank. DigiFiling is not responsible for bank delays.

🚫 Note: Government fees paid to official portals (FSSAI, GST, IP India, MCA, etc.) are strictly non-refundable under any circumstances, as they are remitted directly to the Government of India and cannot be recovered by DigiFiling.

Estimated turnaround times are provided as a guide only and are subject to government processing timelines, completeness of documents, and portal availability.

  • Timelines start from the date of complete document submission, not from the date of payment
  • Government portal downtimes, public holidays, and policy changes can affect timelines beyond our control
  • Delay in client response / document resubmission shall add equivalent time to the processing timeline
  • DigiFiling shall not be liable for delays caused by government processing backlogs, system outages, or force majeure events

The following disclaimers apply to all services provided by DigiFiling:

  • No Government Affiliation: DigiFiling is an independent private company. We are not affiliated with, endorsed by, or acting on behalf of any government body, ministry, or department of India.
  • No Guarantee of Registration: While we strive for 100% success, we cannot guarantee approval of any application as final decisions rest with the respective government authority.
  • Not Legal Advice: Information provided on our website and by our team is for general informational purposes only and does not constitute legal, financial, or tax advice. Consult a qualified lawyer or CA for legal opinions.
  • Website Accuracy: While we aim to keep information current, we make no warranty that website content is always accurate, complete, or up to date. Government rules change frequently.

Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • DigiFiling's total liability to you for any claim arising out of or relating to our services shall not exceed the professional fees paid by you for the specific service giving rise to the claim
  • DigiFiling shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of business, loss of revenue, loss of profits, or loss of data
  • DigiFiling shall not be liable for any damages arising from: government rejection of applications, changes in government policy, delays in government processing, acts of force majeure, or third-party failures
  • DigiFiling shall not be liable for any losses arising from inaccurate information or fraudulent documents provided by the client
  • DigiFiling shall not be liable for any consequences arising from the client's failure to comply with post-registration compliance requirements (e.g. GST return filing, FSSAI renewal)
⚖ This limitation of liability applies regardless of the legal theory under which the claim is brought (contract, tort, strict liability, or otherwise) and shall survive termination of these Terms.

Intellectual Property Rights

All content on the DigiFiling website — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, blog articles, service descriptions, and software — is the exclusive property of DigiFiling India Pvt Ltd and is protected by Indian and international copyright laws.

  • You may not copy, reproduce, modify, publish, upload, distribute, transmit, or create derivative works from our content without prior written permission
  • The DigiFiling name, logo, and taglines are registered or unregistered trademarks of the Company — unauthorized use is prohibited
  • You retain ownership of documents you upload to us — you grant DigiFiling a limited license to use them solely for providing the requested service
  • Feedback or suggestions you provide may be used by DigiFiling without any obligation to compensate you

Prohibited Conduct

You agree not to engage in any of the following prohibited activities while using our website or services. Violation may result in immediate termination of services and legal action:

  • Providing false, misleading, or fraudulent information or documents
  • Impersonating any person, business entity, or government authority
  • Using our services for any illegal purpose or in violation of any Indian law
  • Attempting to gain unauthorized access to our systems, databases, or any connected government portals
  • Engaging in any activity that disrupts, damages, or impairs the functionality of our website
  • Using our website to transmit spam, malware, viruses, or any harmful code
  • Scraping, harvesting, or collecting information from our website using automated tools without permission
  • Reselling or sublicensing our services to third parties without prior written consent from DigiFiling
  • Using our brand name, logo, or materials in any manner that implies endorsement without permission
  • Applying for registrations for businesses engaged in activities prohibited under Indian law (drugs, weapons, obscenity, gambling, etc.)

Section 12
Termination of Services

By DigiFiling: We reserve the right to suspend or terminate our services to you, with or without prior notice, in the following circumstances:

  • If you breach any provision of these Terms and Conditions
  • If you provide fraudulent, forged, or materially false information or documents
  • If your intended business activity is found to be illegal or in violation of any Indian law
  • If you fail to make required payments or cooperate with our team despite reasonable notice
  • If continuing to provide services would put DigiFiling in violation of any law or regulation

By Client: You may terminate a service engagement by giving written notice to support@digifiling.in. Refunds upon client-initiated termination will be governed by Section 6 (Refund Policy).

Effect of Termination: Upon termination, DigiFiling will stop processing your application. Any government applications already filed cannot be withdrawn and fees paid are non-refundable. Your obligations of confidentiality and payment survive termination.

Indemnification

You agree to defend, indemnify, and hold harmless DigiFiling India Pvt Ltd, its directors, officers, employees, partners, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of our website or services in violation of these Terms
  • Any inaccurate, false, or fraudulent information or documents provided by you
  • Your violation of any applicable Indian law, rule, or regulation
  • Any third-party claim arising from your use of registrations obtained through our services
  • Your infringement of any intellectual property or other rights of any person or entity

This indemnification obligation shall survive the termination or expiry of these Terms.

Section 14
Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

Dispute Resolution — Mandatory Escalation Process:

  • 1Informal Resolution (Step 1): You must first attempt to resolve any dispute informally by contacting us at support@digifiling.in. We shall respond within 15 working days.
  • 2Mediation (Step 2): If informal resolution fails, both parties agree to attempt mediation through a mutually agreed mediator in New Delhi before initiating legal proceedings.
  • 3Arbitration (Step 3): If mediation fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.
  • 4Courts (Step 4): If arbitration is not applicable, the exclusive jurisdiction for all disputes shall be the competent courts of New Delhi, India.
⚖ Consumer disputes may also be filed before the appropriate Consumer Disputes Redressal Forum / Commission under the Consumer Protection Act, 2019.

Amendments to These Terms

DigiFiling reserves the right to modify these Terms and Conditions at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Display a notice on our homepage for significant changes
  • Email registered clients for material changes that affect ongoing services

Your continued use of our website or services after the effective date of revised Terms constitutes acceptance of the new Terms. If you do not agree with the amended Terms, you must discontinue using our services and notify us in writing.

Terms governing a service engagement that has already commenced shall continue to apply to that engagement unless both parties agree in writing to the new terms.
